United Tax Pros Main Street is an independently owned and operated licensee of Uptown Tax Services LLC DBA United Tax Pros®.

Agreement to these Terms

These Terms & Conditions (“Terms”) govern your use of this website (the “Website”) and any products or services made available through it, including online tax preparation, business registration, accounting, bookkeeping, payroll-related services, and audit support (collectively, “Services”).

By accessing or using the Website or Services, you agree to these Terms and enter into an agreement with Uptown Tax Services LLC DBA United Tax Pros®, its affiliates, and its licensed locations (including United Tax Pros Main Street as an independently owned and operated licensee). If you are using the Website on behalf of a company or another person, you represent you have authority to bind them to these Terms.

  • You agree to these Terms, our Privacy Policy, and any additional terms provided for specific services (“Additional Terms”).
  • You confirm you are at least 18 years old and legally able to enter a binding agreement.
  • You authorize us to process and share your information across our systems as described in the Privacy Policy and as permitted by law. Where required by law, we will not share tax preparation information without your consent.

Your Personal Information

We handle personal information according to our Privacy Policy and applicable law. You are responsible for the accuracy of information you provide.

  • Only provide information about others if you have proper consent or legal authority.
  • You represent the information you submit is truthful, accurate, consistent, and complete. We may rely on what you provide and do not independently verify source documents.
  • You are responsible for supporting any credits, deductions, or expense claims.
  • You grant United Tax Pros and its licensees a perpetual, royalty-free license to store, process, and use submitted information as permitted by federal and state law and as needed to provide Services.

If you submit false, improper, or incomplete information, we may delete it and refuse current or future service.

Your Rights to Use the Website

  • You may use the Website only for lawful purposes and in accordance with these Terms.
  • Minimum Age: 18+
  • Fees: Some Services require payment. If a third-party payment processor is used, their terms apply. For refund-based payment or refund transfer services, fees are typically due after services are completed and no later than 30 days after e-filing, unless otherwise stated.
  • Security: Notify us immediately of unauthorized use or suspected fraud.

Content & Data

  • Your content remains yours. By submitting content, you grant us a license to use it to provide and improve Services and to comply with law.
  • You may not copy, resell, distribute, or provide unauthorized access to our Services or materials.
  • You are responsible for compliance with applicable laws, including privacy and cross-border data rules.
  • All intellectual property in our Services remains the exclusive property of United Tax Pros and/or its licensors. No ownership transfers to you.

Prohibited Uses

You may not use the Website to:

  • Violate laws or regulations; post illegal, defamatory, obscene, harassing, fraudulent, or infringing content.
  • Transmit malware or harmful code; send spam; impersonate United Tax Pros; resell or provide unauthorized access.
  • Reverse engineer, scrape, or attempt unauthorized access, monitoring, or interference.
  • Encourage or help others do any of the above.

We may monitor, remove content, terminate access, and disclose information as required by law to protect customers, prevent fraud, or operate the Website.

Access to Products & Services

  • Changes/Cancellation: We may change, suspend, or discontinue Services at any time. We are not liable for interruptions or discontinuance.
  • Technical Issues: Service may be interrupted from time to time. We are not responsible for losses due to outages beyond our control.
  • Accounts: You are responsible for keeping login credentials confidential and for all activity under your account.
  • Accuracy: We may suspend or terminate access if information is inaccurate, incomplete, or inconsistent.

Electronic Filing (e-file)

  • Your responsibility: Review and confirm your return before filing and keep copies for your records.
  • Availability: E-file rules vary by state and may require joint federal/state e-filing.
  • Limited responsibility: If e-filing is purchased, we will use commercially reasonable efforts to transmit your return electronically, subject to system availability and compliance checks.

Second Opinion

  • If purchased, United Tax Pros professionals or licensees may review information, provide guidance, prepare returns, and e-file as applicable.
  • Your responsibilities: Provide requested documents promptly and review information before deadlines.
  • Inaccurate or incomplete information may void guarantees, and additional fees may apply for extra services or manual entry.

Consumer Bills of Rights

Your Duties (Full-Service Tax Preparation)

  • Provide accurate, consistent, and complete information (contact details, SSN/ITIN, W-2/1099, documentation for deductions/credits, receipts, etc.).
  • Upload through the Website, provide to a local office, or share with your tax professional through approved secure channels.
  • Review & Approve: You must review and approve federal and state returns before filing.
  • No return is filed until fees are paid or approved for refund-based payment (if offered and eligible).
  • Your obligation: You are responsible for paying any tax due and meeting your filing requirements now and in future years.

Reimbursement Terms (Penalties & Interest)

To qualify, all conditions must be met (summary):

  • The penalty/interest relates to a personal or business return prepared and filed by United Tax Pros or applicable affiliates/licensees; you complied with requested processes and deadlines; and you paid the assessed penalty/interest.
  • The cause was solely: (a) arithmetic software error; (b) incorrect written advice from a United Tax Pros preparer; or (c) a professional preparation error.
  • You notified your tax professional within 30 days, provided complete documentation, and cooperated with reasonable requests (such as filing an amended return).
  • Exclusions apply (not exhaustive), including issues caused by late filing, incomplete/incorrect inputs, third-party errors, unsupported deductions, unreported income, retroactive law changes, or factors outside our control.

This section states your exclusive remedy for covered errors. Monetary remedies are not available if you request a refund for services.

Disclaimers & Limitations

Disclaimer of Warranties

  • Except as expressly stated, Services are provided “as is” and “as available,” without warranties of any kind.
  • To the maximum extent permitted by law, implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) are excluded.
  • We do not guarantee uninterrupted or error-free operation. You are responsible for reviewing outputs and confirming accuracy.

Exclusive Remedy; Limitation of Liability

  • Our total liability is limited to the amount you paid for the applicable Services.
  • We are not liable for indirect, special, incidental, or consequential damages (including lost profits, lost data, or business interruption), even if advised of the possibility.
  • Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent permitted by law.

These limits are essential to providing Services at reasonable cost.

Arbitration Agreement

Disputes between you and United Tax Pros parties may be resolved by binding individual arbitration unless you opt out where permitted. Small claims court may remain available for eligible individual claims.

  • Notice of Dispute: Mail notice to United Tax Pros – Legal Department, Attention: Notice of Dispute, 1970 E. Osceola Pkwy, Ste. 142, Kissimmee, FL 34743.
  • Informal Resolution: Either party may request an informal settlement conference within 60 days of a complete notice.
  • Administration: AAA Consumer Arbitration Rules apply as modified by these Terms. If AAA is unavailable, another provider will be selected.
  • Class Action Waiver: Claims proceed individually only. No class, consolidated, or representative actions.
  • Governing Law: The Federal Arbitration Act governs this Arbitration Agreement.

SMS Text Messages

  • Carrier rates may apply. We may contact you by SMS/MMS for updates, reminders, and promotions. Frequency varies.
  • Keep your phone number updated. Reply STOP to opt out.

Termination

We may terminate these Terms immediately if you violate them. Upon termination, you must stop using the Website and Services. Terms intended to survive will remain in effect.

Governing Law

Except as provided in the Arbitration Agreement, these Terms are governed by the law of the state where you accepted them, subject to federal law where applicable.

Entire Agreement

These Terms, along with the Privacy Policy and any Additional Terms, form the entire agreement between you and United Tax Pros regarding the Website and Services.

Electronic Communications Consent

By using electronic Services, you consent to receive disclosures and communications electronically related to Services offered by United Tax Pros, Pathward, N.A., and their affiliates or licensees. If you do not consent, you may not be able to proceed electronically.
